Project Initiation & Scope
Saying yes in writing starts the clock and binds you. Pulling out afterwards costs money, and the quote can move if the job grows.
Client confirmation — a written reply or a signature — is a legally binding agreement to proceed. Withdrawal after confirmation incurs a penalty.
The quoted price is an estimate. It may change if the project scope expands or requires additional third-party resources.
Financial Terms & Payments
Paid in three stages. Nothing is refundable, and the rate is locked once the advance clears. Third-party costs are passed through at cost.
Payments follow a milestone structure: a non-refundable advance is charged before work begins; a further payment is due on delivery of the first major update or prototype; the remaining balance is due on completion, prior to final handover.
All payments are strictly non-refundable. Rates are locked once the advance is paid and no further negotiation will be entertained.
Third-party costs — hosting, domains, plugins, APIs, software licences — are billed separately at cost, with no agency markup.
Revisions, Additions & Urgent Work
Anything outside the agreed scope is billed by the day. Work you later scrap is still work you paid for. Rushing costs extra.
Changes outside the agreed scope are charged at the Agency's daily rate, based on time required. A two-day change adds two days to the invoice.
Completed work that is later scrapped is not refunded or credited.
Expedited delivery outside the agreed timeline incurs an additional Rush Fee.
Timelines, Delays & Dormancy
If we are waiting on you, the deadline moves. Two weeks of silence and the project goes dormant; restarting may cost you.
The Agency is not responsible for missed deadlines caused by the Client — delayed feedback, missing content, or late payment. Such delays automatically extend the deadline.
No communication or missing assets for fourteen consecutive days classifies the project as dormant. Resumption may incur a fee and requires rescheduling based on the Agency's availability.
Intellectual Property & Rights
We own the work until the final payment clears. Then it is yours. What you send us has to be yours to send. We may show the finished project in our portfolio.
The Agency retains full ownership of all code, designs and intellectual property until final payment clears, at which point ownership transfers to the Client.
The Client warrants that all supplied materials are owned or licensed by the Client. The Agency is not liable for infringement arising from Client-supplied content.
The Agency may showcase the completed project in its portfolio and marketing materials.
Handover, Warranty & Maintenance
Thirty days of free bug fixes after handover — bugs, not new ideas. After that it is a maintenance contract or an hourly rate.
A thirty-day warranty following handover covers native bugs and functional errors only. It does not cover new features or design changes.
After day thirty, maintenance, bug fixes, updates or server management require a paid Monthly Maintenance Contract, or are billed at the Agency's standard hourly rate.
Professional Conduct
Be decent to the team. Abuse ends the project immediately, with no refund and no handover.
There is zero tolerance for abusive, rude or disrespectful conduct toward the Agency or its team.
Violations result in immediate project termination with no refund. The Agency retains ownership of all unreleased work.
Liability & Legal Restrictions
We build it; how it performs commercially is on you. Lawful use is your responsibility, and we are not liable when someone else's service goes down.
The Agency is not liable for loss of revenue, missed opportunities or business damages arising from the completed project.
The Client assumes full legal responsibility for lawful use of the delivered product, by themselves and by end-users.
The Agency is not responsible for downtime or losses caused by third-party failures, including payment gateways, hosting providers or external APIs.
